1. ACCEPTANCE OF TERMS

These Terms & Conditions govern access to and use of the MIS for M-Pesa Agents platform operated by Suguta Valley Technologies. By activating, accessing, or using the platform, the Dealer confirms that they have read, understood, and accepted these Terms & Conditions.

2. PLATFORM SERVICES

The platform provides operational and management services including:

• Principal Dealer Profile (PDP)
• Float Resources Management (FRM)
• Loan Management System (LMS)
• Agent performance analytics
• Reporting and operational monitoring
• Subscription billing and account management
• Compliance monitoring
• Notifications and alerts

Access to services is determined by the Dealer's subscribed package.

Subscription Packages

Basic Package — Includes access to:

• Principal Dealer Profile (PDP)
• Agent Performance Dashboard
• Reporting and Analytics
• Weekly and Monthly Performance Reports
• Compliance Monitoring
• Notifications and Alerts
• Agent Management Features
• Data Export Functions

The Basic Package does not include Float Resources Management (FRM) or Loan Management System (LMS).

Standard Package — Includes all Basic Package features, plus:

• Float Resources Management (FRM)

Premium Package — Includes all Standard Package features, plus:

• Loan Management System (LMS)

Management reserves the right to enhance, modify, add, or discontinue platform features from time to time, provided such changes do not materially reduce the core functionality of an active subscription package during a paid subscription period.

3. DEALER ACCOUNT RESPONSIBILITY

The Dealer is responsible for:

• Maintaining confidentiality of account credentials
• Managing authorized users under the dealer profile
• Ensuring all information provided is accurate and current
• All activities conducted under the dealer account

Management reserves the right to suspend or restrict access where unauthorized use, misuse, fraud, or security compromise is detected.

4. SUBSCRIPTION & BILLING

Platform access is subscription-based. Subscription charges are determined by:

• Package Type
• Billable Agents
• Applicable VAT

Billing is automated and processed according to the configured billing cycle. Payments are made through approved payment channels configured by Management. Failure to maintain an active subscription may result in restricted, disconnected, or suspended access.

5. AGENT LIMIT & BILLABLE AGENTS

The platform distinguishes between:

• Agent Limit
• Billable Agents

Agent Limit defines the maximum number of agents the Dealer may create within the system. Billable Agents define the number of agents authorized to access subscribed platform services, including:

• Agent App access
• Web Portal access
• Weekly performance reports
• FRM services
• LMS services (Premium Package)

The Dealer is responsible for selecting and managing service-enabled agents within the allocated Billable Agent limit.

6. DEALER DATA CONFIDENTIALITY, OWNERSHIP AND ACCESS RESTRICTIONS

All Agent information, transaction records, operational data, performance metrics, reports, compliance records, uploaded documents, and related business information submitted to or generated within the MIS for M-Pesa Agents platform shall remain the exclusive property of the respective Dealer.

Suguta Valley Technologies acknowledges that such information is confidential, commercially sensitive, and proprietary to the Dealer. The platform is provided solely as a technology and information management service, and no ownership rights in Dealer or Agent data are transferred to Suguta Valley Technologies.

Except where expressly authorized in writing by the respective Dealer, Suguta Valley Technologies, Management, Super Administrators, employees, contractors, or representatives shall not access, review, analyze, process, extract, utilize, commercialize, distribute, or otherwise consume Dealer or Agent data for business, commercial, operational, research, marketing, competitive, or analytical purposes.

Dealer and Agent data shall remain segregated and accessible only to:

• The respective Dealer
• Authorized users designated by the Dealer
• The respective Agent where access has been granted by the Dealer

Access by Suguta Valley Technologies personnel shall only be permitted where:

• The Dealer has expressly requested technical support or assistance
• Access is necessary to investigate a reported system fault or service incident
• Access is required by law, court order, or regulatory directive

Where access is required for support purposes, such access shall be limited to the minimum information reasonably necessary to resolve the reported issue. Suguta Valley Technologies shall not sell, share, disclose, aggregate, publish, profile, mine, or otherwise exploit Dealer or Agent information for any purpose unrelated to the provision, maintenance, security, or lawful operation of the platform.

Management recognizes that Agent relationships, transaction histories, operational performance records, business intelligence, and related information constitute confidential business assets of the Dealer and shall be treated with the highest degree of confidentiality and protection.

7. DATA PROCESSING & REPORTING

The platform processes uploaded dealer data for operational reporting, analytics, monitoring, and system-generated insights. The Dealer confirms that all uploaded data is lawfully obtained, accurate, and authorized for processing.

8. KYC & COMPLIANCE

The Dealer shall provide and maintain valid compliance documentation, including:

• Registration Certificate
• Sender ID Letter

Management reserves the right to request updated compliance documentation where necessary.

9. COMMUNICATIONS

Management may issue:

• Subscription renewal reminders
• Service notifications
• System alerts
• Compliance notices
• Operational updates

through SMS, email, or in-platform communication channels.

10. LIABILITY

The Dealer acknowledges that agents created under the dealer account operate under the Dealer's authority, supervision, and responsibility. Management shall not be liable for:

• Fraudulent activities conducted by dealer-managed agents
• Unauthorized transactions performed under dealer-managed operations
• Incorrect dealer-uploaded data
• Third-party service interruptions or API failures
• Unauthorized access arising from dealer negligence
• Business losses resulting from dealer decisions or agent conduct

11. SUSPENSION & TERMINATION

Management reserves the right to suspend, restrict, or terminate platform access where:

• Subscription obligations remain unpaid
• Fraudulent or unlawful activity is detected
• Platform misuse occurs
• Regulatory or compliance requirements are breached

12. GOVERNING ACCEPTANCE

By activating the dealer account and continuing to use the platform, the Dealer confirms:

• Acceptance of these Terms & Conditions
• Acceptance of the Dealer Agreement
• Authority to act on behalf of the registered organization
• Responsibility for all activities conducted under the dealer account
• Ownership and responsibility for agents provisioned under the dealer profile
